Object clause of memorandum of association of any company states the main business and incidental/ancillary businesses being run by the company on its incorporation. Convene board meeting
Convene board meeting by giving not less than 7 days notice to board members to discuss the alteration in object clause and to call Extra-Ordinary general meeting to obtain consent of shareholders by means of special resolution for alteration of objects.
Serve Notice of EGM
Issue notice of extra-ordinary general meeting to all the members, Directors and the Auditors of the Company at least 21 clear days before the actual date of the meeting in accordance with the Secretarial Standards-II.
Pass Board Resolution
Hold EGM and pass resolution for alteration of object clause of MOA
File Form MGT-14
File Form MGT-14 with Registrar of Companies within 30 days of passing the special resolution.
Approval from ROC
Once Form MGT-14 is approved by ROC, the Registrar will issue certificate for change in objects which shall be the conclusive evidence that all the requirements with respect to the alteration have been duly complied with by the company. The alteration shall be complete and effective only on the issue of certificate by the Registrar.
